About Us

Emmanuel Mallia & Associates (Advocates) is a Maltese law firm set up and established by its present Managing Partner, Emmanuel Mallia L.P., LL.D..

The Firm has been practicing since 1979 and has its foundations in the practice of general commercial and civil law as also in maritime and shipping affairs.

The Firm has a modern outlook and prides itself on its philosophy of encouraging a positive and healthy working environment coupled with an emphasis on providing expert practical advice combined with exceptional client service.  Our commitment to client care is the basis of our reputation.  Indeed, many clients of the Firm are now personal friends through long association.  

The Firm has grown strategically over the years and this is reflected in the development and expansion of its branches of practice, as also an ever-increasing interest of foreign investment in Malta, and use of the local legal framework in corporate, fund management and personal asset matters as a desirable and efficient vehicle for the structuring of businesses and the channelling of business operations and ventures abroad.

The Firm is privileged to number some of Malta’s foremost business enterprises among its clients, and to have been involved in mergers and acquisitions, and in corporate restructuring of some of them.  The practice has also been enriched by the Firm’s professional involvement with some major foreign operators, both for their investment into Malta and for their use of Malta as a base for their ventures and operations. The Firm has also acted as a professional consultant in disputes before local and foreign courts.

The Firm is a member of the International Bar Association, the American Bar Association and the Chamber of Advocates of Malta.

Emmanuel Mallia

Emmanuel Mallia L.P. LL.D. is the founding member and Partner of the Firm.  He read law at the University of Malta and was conferred the degree of LL.D. in November, 1978, on completion of a thesis entitled ‘The Proper Law of International Contracts’.  Emmanuel Mallia is widely regarded by colleagues as Malta’s foremost advocate in Criminal Law.

Emmanuel Mallia is a Lecturer and Examiner of Criminal Law and Criminal Procedure at the University of Malta as well as the Academy of the Malta Police.  He is also a director of London Services Limited (AVIS Malta) and the Secretary General of the Rent-a-Car Association of Malta.

Alexander Perici Calascione

Alexander Perici Calascione LL.D. is a Partner of the Firm.  He was conferred the degree of LL.D. in November, 1986, on completion of a thesis entitled ‘Tourism Legislation – A Comparative Study’. 

Alexander Perici Calascione is a director of Future Investments Limited and is a member of the Board of Governors of the Razzett tal-Hbiberija a non-profit making leisure and therapeutic centre catering exclusively for the needs of disabled persons.  He is also a Knight of the Military and Hospitaller Order of Saint Lazarus of Jerusalem.

Alexander Perici Calascione was appointed Commissioner for Justice by the Maltese Government between 1991 and 1997.

Ramona Frendo

Ramona Frendo M.Phil.(Crim.)(Cantab.), LL.D., joined the Firm as a trainee in 1994, and as an Associate in 1995 after her graduation from University of Malta. She furthered her studies at the Ball State University in Indiana, United States, and at the University of Cambridge, England.  She currently acts as head of the Litigation Department, and is responsible for the conduction of the Firm’s litigation base.

Ramona Frendo has been appointed Visiting Lecturer and Examiner at the University of Malta and at the Institute of Forensic Studies.  She has also been a director of Mid-Med Bank Overseas Limited (1997-1999); Legal Consultant to the Ministry of Social Welfare (1997-1999) and Secretary to the Fondazzjoni Patrimonju Malti (1997-1998), a foundation concerned chiefly with protecting and promoting Malta’s rich heritage and culture.

Matthew Brincat

Matthew Brincat LL.D., also joined the Firm as a trainee in 1994, and as an Associate in 1995 after his graduation from University of Malta.  He is the head of the Shipping, Administrative and Intellectual Property Department.  He is responsible for all matters which our clients have with any Government Department, Authority or Commission and oversees the shipping and maritime matters of the Firm.  This department also encompasses the substantial Intellectual Property branch of the practice

John Cremona

John Cremona LL.D. is the most recent addition to this Firm having joined in April, 2000.  He previously worked with another law firm for over 2 years where he concentrated on litigation and the drafting of legal documents, particularly contracts, and the formation, registration and administration of companies and related services.

John Cremona read law at the University of Malta between 1991 and 1997.  He was conferred the Diploma of Notary Public in November, 1995, and subsequently the degree of LL.D. in November, 1997, on completion of a course of studies in different areas of law, and on completion of a thesis entitled ‘The Marriage Act Amendments, 1995: A Workable Solution?’  John Cremona also read a Masters post-graduate degree in Financial Services at the University of Malta.  He has submitted his thesis entitled ‘A New Legal Form For Small Business?’ and graduated on November 21, 2000.

In the summer of 1995 John Cremona co-ordinated a Research Programme in conjunction with the Council of Europe, and in particular with Mr. Lasse Siurala, a delegate of the Council of Europe, concerning various aspects of Youth Unemployment in Malta.

John Cremona is currently reading a Magister Juris post-graduate degree in EU Comparative Law at the University of Malta.

Rachel Montebello

Rachel Montebello BA(Leg. & Hum.)  LL.D. graduated in 1999 from the University of Malta where she read a law degree.  Rachel Montebello also read a 3-year Bachelor of Arts course in International Relations at the same University.  She joined the Firm soon after graduating, having completed her traineeship period with the Firm.  She has worked almost exclusively in the Litigation Department where she is gaining extensive experience and exposure.

Departments

Criminal Law Department

Emmanuel Mallia, the firm’s Managing Partner, supervises the overall development and operation of the Firm with a direct involvement in all the Firm’s Departments but, in particular, in the Criminal Law Department of which he is the Head.  This Department has, over the years, acquired invaluable experience through its involvement in the conduction of major criminal proceedings and has on a number of occasions been consulted by local and foreign authorities on matters related to criminal law.

 

Special Projects, Corporate and Financial Services Department

This department is led by Partner, Alexander Perici Calascione LL.D., assisted by associate, John Cremona LL.D., and covers a wide range of corporate and commercial disciplines.  Its sphers of operation extend to Financial Services; Trusts, including the setting up, operation, varying and termination of Trusts as well as offering trustee services; foreign investment and the direction of local investment abroad; corporate law, including company restructuring and reorganisation; mergers and acquisitions; project financing; bank trade facilities; partnership; licensing and franchising; agency and distribution; and tax issues, particularly cross-border taxation and avoidance of double taxation.

A fast growing area within this department is that concerning strategic estate management.  The department has frequently given advice to large corporate clients on the issue of the transition of wealth to future generations.

This Department also encompasses the following divisions: 

1.      The Telecommunications and Entertainment Department which often advises large corporate clients such as general telecommunications, television, record and filming companies.  The department has offered assistance and advice to large film productions and to budding artists in the entertainment industry alike.  The Firm, moreover, offers its professional assistance to the actual independent operators in these spheres on asset and property management through its other departments.

2.      The International Tax Planning Department which has acquired a reputation for original, timely and practical solutions.  Our tax work is always clearly directed at helping our clients achieve business objectives.

  

Litigation Department

Senior associate, Ramona Frendo M.Phil.(Crim.)(Cantab.), LL.D., heads the litigation department which handles a portfolio of litigation in all spheres of civil, commercial and penal laws.  It has also built, over the years, a reputation for insurance claims litigation work.  Ramona Frendo is assisted by associate, Rachel Montebello LL.D..  The litigation team works for corporate clients from Malta and abroad, across a wide range of business and civil law dispute sectors.  This department also handles family law matters and frequently assists clients in separation and annulment lawsuits both before the Civil Courts as well as before the Ecclesiastical Tribunals.

 Ramona Frendo also heads the team which provides a comprehensive range of employment related legal services to its vast corporate client portfolio.  The team handles all aspects of contentious and non-contentious employment law.  The emphasis is on advising employers on how to comply with good employment practice with a view to claims avoidance.  However, the department also gives advice to employees on their employment problems and frequently offers advice on employer rights and obligations. 

 

Shipping, Administrative and Intellectual Property Department

Matthew Brincat LL.D., a senior associate, heads the team which provides a vast array of legal services.  Foremost among these are the ship registration and shipping company registration and incorporation services which are expanding at a fast rate.  Maritime affairs such as mortgages, bareboat charter etc. are also part of this department.

This department assists and offers professional advice to clients ranging from plcs. to corporate and sole traders in all matters concerning government departments and statutory bodies including the Planning Authority, Public Service Commission and all litigation before any government department or public corporation board.  

This department also acts for proprietors of intellectual property rights assisting them in registering their trade marks and patents.  The team frequently deals with copyright infringements and offers advice on matters concerning intellectual property rights in general.

This Department also encompasses the Property division which has over the years established a broad client base advising both local and foreign investors and funding institutions on a wide range of commercial and residential property matters.

Services offered by the Firm

These include:

·        Company formation services including full administrative services, accountancy services, management services and management consultancy and advice.

The Firm can provide you with full company formation and incorporation services once we have been supplied with the necessary details and documents.  The Firm incorporates tax efficient Maltese companies such as International Trading Companies and International Holding Companies as well as normal Maltese companies for business activities in Malta.

·        Corporate, tax and legal consultancy services and any services ancillary or        related thereto.

For example, should this be desired, the Firm can assist the shareholders of International Trading and International Holding Companies in obtaining the refunds of taxes paid by such companies.

·        Provision of registered office facilities in Malta and company secretary services.

If you do not have an office in Malta for your Maltese company, the Firm can provide you with a registered office at one of the addresses available to us.  Furthermore, the Firm can provide you with company secretary services.  

·        Assistance to companies in obtaining work permits for their directors and employees in Malta.

 

·        Assistance to individuals wishing to apply for residence permits in order to reside in Malta without pursuing an occupation thereby making use of the fiscally attractive Permanent Residence Scheme.

 

·        Ship Registration, mortgage registration and bareboat charter registration under the Malta flag.

 

·        Registration of Trade Marks and Patents.

 

·         Assistance in banking transactions and facilities.

 

·         Assistance in purchasing and/or leasing of immovable property in Malta.

Through the Firm we provide you with legal advice on tax law, Financial Services law in general and with any other legal and related or ancillary services.

 

Associated companies

Venture Services Ltd. (VSL) is an associated company of the Firm.  This corporate structure was conceived in order to provide more comprehensive and specialised services to the international clientele of the Firm. 

VSL is a nominee company set up under the Laws of Malta in terms of section 51A of the Malta Financial Services Centre Act and duly licensed by the Malta Financial Services Centre.  Apart from nominee shareholding and directorship services VSL also offers Trust services including drafting of trust deeds, setting up of Maltese Trusts and other Trusts and acts as trustees of the same. 

Besides administrative and secretarial staff, VSL retains 6 advocates and 2 legal procurators.

Notwithstanding this corporate structure, services are integrated and clients work through a partner of the Firm who draws on the required expertise in order to ensure an efficient and effective service.

 Services offered by VSL

These include:

·                     Nominee shareholders and/or directors.

VSL can provide you with nominee company directors and shareholders who act upon the instructions of the nominator.  VSL has a licence to act as nominee shareholder and director when our clients so desire be it for reasons of confidentiality, commerce or otherwise.  Thus, we may subscribe to shares in the name of VSL as nominee shareholder which will act upon the instructions of the beneficial owners of the company

·                     Setting up and administration of Trusts, acting as trustees and assistance in the recognition of foreign Trusts in Malta.
